Steps To Tokenize Real Estate

Structure the legal framework

A Special Purpose Vehicle (SPV)—a legally separate entity-is typically created to own the physical real estate asset.

This foundational step involves legally binding the real-world property to its digital representation and ensuring the entire process complies with securities law.

Draft Legal Documents: documents that define the rights and obligations of token holders, including things like revenue sharing, voting rights, and eventual exit strategies.

Digitize and Ownership

With the legal foundation set, the ownership of the property is digitized and encoded with rules that govern its distribution and management.

Create the tokens: The SPV's ownership is divided into fractional shares, with each digital token representing a portion of that ownership. These tokens can be designed as fungible tokens (where all shares are identical) or non-fungible tokens (for unique aspects of a property).

Develop smart contracts: The legal rules and property management processes are automated through smart contracts on a blockchain. This automates tasks such as dividend payouts, ownership transfers, and compliance checks (Know Your Customer/Anti-Money Laundering).

Issue and Manage the Tokens

The tokens are now ready to be distributed to investors, and an ongoing management system is put in place.

The tokens are offered to investors via a security token
offering (STO) or private placement on a compliant tokenization platform. • Once purchased, investors can hold the tokens in a digital wallet. Depending on the platform and regulations, they can also trade them on a compliant secondary marketplace, which provides liquidity to the traditionally illiquid real
estate asset.

After the offering is complete, the platform continues to provide ongoing management services, including distributing rental income to token holders and handling compliance reporting.
